论职工参与公司治理的法律制度构建
摘 要
210世纪以来,随着公司的发展趋于规模化、社会化和国际化,公司逐渐成为了现代社会基本的经济细胞。职工作为公司最重要的.参与者,其“主人翁”的地位逐渐被淡化。与此同时,在西方发达国家,“资本基本主义”经济增长模式日益受到理论和实践的挑战。210世纪610年代,美国学者舒尔茨提出了人力资本理论,人力资本拥有者成为公司治理的积极参与者,职工由生产过程中的被动客体成为公司治理过程中的参与主体,在经营活动中发挥着重要作用。从经济学理论和法学理论两方面探讨其理论依据,分析我国现行职工参与公司管理的立法不足,并对我国职工参与公司治理的立法完善问题作1些探索。

Abstract
Since the 20th century, as the development of company tends to be socialized, internationalized and in a full scale, the company has gradually become the fundamental economic cell of modern society. Staff has become the most important participator of company, whose position as the master is gradually weakened. Meanwhile, in developed Western countries, the economic growth pattern “the capital fundamentalism” is gradually challenged by the theory and the practice. In 1960’ s , American scholar Shuerci brought forward the human capital theory , the people who owns the human capital has become the active participator of the company administration . The staff has become the subject participating in the company administration in stead of the passive one in the productive process, and is now playing a more and more important role in business activity. This thesis attempts to discuss its theory basis from the perspective of economics theory and science of law theory, analyze the legislative deficiency concerning the staff’s management in the company, and do a few explorations to the problem of legislative perfection that is related to the staff’s participation in the governing of the company.
